Effective Date: [1 January 2026]

1. Introduction and Platform Role
   This Campaign and Project Creator Agreement (“Agreement”) is entered into between Initiate Global Foundation, Inc. (“Initiate Global,” “Foundation,” “we,” “us,” or “our”) and the individual or entity submitting a fundraising campaign (“Campaign Creator” or “Creator”).

   Initiate Global is a non-stock, non-profit organization acting as a foundation and conduit between donors and campaign creators. The Foundation provides fundraising infrastructure, compliance oversight, and administrative support but does not control or manage the Creator’s project operations.

   This Agreement supplements the Terms of Use, Disclosure and Transparency Policy, Audit and Reporting Framework, Refund and Cancellation Policy, Content and Acceptable Use Policy, and other applicable platform policies.

   By submitting or managing a campaign, you agree to be legally bound by this Agreement.

2. Eligibility and Representations
   2.1 Legal Capacity and Authority
   You represent and warrant that:
   
   1. You are at least eighteen (18) years old and legally competent to enter into contracts; or
   2. If acting on behalf of an organization, the organization is duly registered and authorized to solicit donations under applicable law, and you have full authority to bind such organization.

   2.2 KYC, AML, and Sanctions Compliance
   You agree to:

   1. Complete identity verification (KYC) procedures;
   2. Submit government-issued identification, proof of address, business registration documents (if applicable), and any additional documentation reasonably requested;
   3. Comply with applicable Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) laws.

   Initiate Global reserves the right to deny, suspend, or terminate access if verification fails or if you appear on sanctions or watchlists.

   2.3 Ongoing Representations
   You represent that:

   1. All information provided is true, accurate, and not misleading;
   2. Funds raised will be used solely for the purposes disclosed;
   3. You will not engage in fraudulent, deceptive, illegal, extremist, or harmful conduct.
3. Campaign Submission and Approval
   3.1 Application and Review
   All campaigns are subject to review for legality, completeness, and alignment with platform standards. Approval is discretionary and may be denied without obligation to provide reasons.

   3.2 Activation and Ongoing Compliance
   Once approved, your campaign may be published. Initiate Global may edit, restrict, suspend, or remove campaigns that:

   1. Violate platform policies;
   2. Present legal or reputational risks;
   3. Contain misleading or incomplete information.
4. Required Disclosures and Recordkeeping
   You must provide:
   
   1. A clear description of project objectives and intended use of funds;
   2. A reasonable budget breakdown;
   3. Estimated timelines and key milestones;
   4. Disclosure of foreseeable risks or dependencies.

   You must retain receipts, invoices, contracts, and financial documentation for at least five (5) years and provide them upon request for audit or verification.

5. Use of Funds
   Funds must be used exclusively for the campaign purpose as represented.

   Misuse, diversion, personal enrichment beyond disclosed compensation, or material deviation without donor disclosure constitutes a material breach of this Agreement.

   Initiate Global may freeze, withhold, recover, or reallocate undistributed funds in cases of suspected misuse or legal non-compliance.

6. Prohibited Campaigns
   You may not use the platform to:
   
   1. Promote illegal, hateful, discriminatory, or extremist activity;
   2. Offer weapons, narcotics, gambling services, adult content, or restricted goods;
   3. Conduct investment offerings, securities sales, or profit-sharing schemes without lawful authorization;
   4. Misrepresent affiliations or identities;
   5. Infringe intellectual property rights;
   6. Direct donors to transact outside the platform to bypass fees or monitoring.

   Violation may result in immediate suspension or termination without notice.

7. Reporting and Updates
   You agree to:
   
   1. Post meaningful updates at least once per month while the campaign is active and after fund disbursement;
   2. Provide a final summary report detailing funds received and expenditures;
   3. Respond promptly to compliance inquiries.

   Failure to provide updates may result in suspension or removal.

8. Fees, Payments, and Taxes
   
   1. Initiate Global may deduct a platform fee as disclosed.
   2. Payment processors may deduct transaction fees prior to fund transfer.
   3. You are solely responsible for taxes, filings, permits, and regulatory compliance.

   Initiate Global does not provide tax or legal advice.

9. Audit and Verification Rights
   Initiate Global may audit your campaign and related financial records, including:
   
   1. Review of receipts and bank statements;
   2. Virtual or in-person verification;
   3. Requests for supporting documentation.

   Non-cooperation constitutes grounds for suspension, termination, or referral to authorities.

10. No Off-Platform Solicitation
    You shall not post or share personal contact information or alternative payment channels for the purpose of collecting donations outside Initiate Global.

    Attempts to bypass platform safeguards may result in immediate account termination and forfeiture of undistributed funds.

11. Term and Termination
    This Agreement remains effective while your campaign is active or funds remain subject to reporting obligations.

    Initiate Global may terminate this Agreement immediately if you:

    1. Breach any provision;
    2. Engage in fraud or misrepresentation;
    3. Fail verification requirements;
    4. Create material legal or reputational risk.

    Termination does not relieve you of reporting, audit, indemnification, or legal obligations.

12. Indemnification
    You agree to indemnify, defend, and hold harmless Initiate Global, its trustees, officers, employees, volunteers, and affiliates from and against any claims, damages, liabilities, losses, or expenses arising from:
    
    1. Misuse or misrepresentation of funds;
    2. Violation of law;
    3. Intellectual property infringement;
    4. Failure to fulfill campaign commitments;
    5. Breach of this Agreement.
13. Limitation of Platform Liability
    Initiate Global provides infrastructure and compliance oversight only. It does not guarantee funding outcomes, project success, or reward delivery.

    To the extent permitted by law, liability is limited to platform fees received in connection with the specific campaign giving rise to the claim.

14. Governing Law and Dispute Resolution
    This Agreement shall be governed by the laws of the Republic of the Philippines and subject to the dispute resolution mechanisms set forth in Initiate Global’s Governing Law and Jurisdiction Clause.
15. Acknowledgement
    By submitting or managing a campaign, you confirm that you have read, understood, and agreed to this Agreement and all referenced policies.
