Governing Law and Jurisdiction Clause

This Governing Law and Jurisdiction Clause establishes the legal framework governing all relationships, transactions, disputes, and enforcement matters arising from or related to the use of the Initiate Global Foundation (“Initiate Global,” “we,” “us,” or “our”) platform. This Clause applies to all donors, campaign creators, partners, and users, whether located in the Philippines or abroad.
Initiate Global operates as a non-profit foundation and platform facilitator acting as a conduit between donors and campaign creators. Nothing herein shall be construed as creating a trust, fiduciary, or agency relationship beyond what is expressly provided by law.
- Applicable Law
1.1 Primary Governing Law
All agreements, transactions, donations, campaigns, and interactions involving Initiate Global shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law rules or principles.1.2 Incorporated Statutes and Regulations
Without limitation, the following laws and regulations are expressly incorporated by reference and shall apply where relevant:- Republic Act No. 10173 – Data Privacy Act of 2012 and its Implementing Rules and Regulations;
- Republic Act No. 9160 – Anti-Money Laundering Act of 2001, as amended, and implementing rules and AMLC issuances;
- Counter-Terrorism Financing Rules and related regulations issued by the Anti-Money Laundering Council (AMLC);
- Republic Act No. 8792 – Electronic Commerce Act of 2000;
- Republic Act No. 9285 – Alternative Dispute Resolution Act of 2004; and
- The Civil Code of the Philippines and related special laws governing obligations, contracts, donations, and quasi-contracts.
All users agree that Philippine law exclusively governs the interpretation, validity, performance, and enforcement of their relationship with Initiate Global.
- Dispute Resolution
2.1 Good-Faith Resolution
In the event of any dispute, controversy, or claim arising out of or relating to the platform, the parties shall first attempt to resolve the matter in good faith through written notice and informal discussions with Initiate Global’s Support or Compliance Team. A period of thirty (30) calendar days shall be allowed for amicable settlement.2.2 Mandatory Arbitration
If the dispute is not resolved within the stated period, it shall be finally and exclusively resolved through arbitration, subject to the following terms:- Seat and Venue: Taguig City, Philippines;
- Governing Rules: Rules of Arbitration of the Philippine Dispute Resolution Center, Inc. (PDRCI), unless another reputable arbitral institution is mutually agreed upon;
- Language: English;
- Number of Arbitrators: One (1), unless the arbitral institution determines that the complexity or value of the dispute warrants the appointment of three (3) arbitrators;
- Governing Law: Laws of the Republic of the Philippines.
Arbitration shall be conducted in accordance with Republic Act No. 9285 and its Implementing Rules and Regulations. The arbitral award shall be final, binding, and not subject to appeal, except as permitted by law.
2.3 Allocation of Costs
Each party shall bear its own legal fees and expenses. Arbitration costs, including arbitrators’ fees and administrative expenses, shall be shared equally unless otherwise allocated by the arbitral tribunal in its final award. - Court Intervention and Enforcement
Nothing in this Clause shall prevent Initiate Global from seeking interim, provisional, or injunctive relief from courts of competent jurisdiction in the Philippines, where necessary to protect its rights, platform integrity, donors, or compliance with law.Judgment upon the arbitral award may be entered, recognized, and enforced by the proper courts in the Philippines.
- Consent to Jurisdiction and Venue
By accessing or using the Initiate Global platform, including creating an account, launching a campaign, or making a donation, all users, whether local or foreign, expressly and irrevocably:- Consent to arbitration as the primary and exclusive mode of dispute resolution;
- Submit to the jurisdiction of Philippine courts solely for purposes of enforcement, interim relief, or matters not subject to arbitration; and
- Agree that Taguig City, Philippines, shall be the exclusive seat and venue for arbitration proceedings.
- Severability
If any provision of this Clause is declared invalid or unenforceable by a competent authority, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. - Acknowledgement
By using the Initiate Global platform, users confirm that they have read, understood, and voluntarily agreed to this Governing Law and Jurisdiction Clause, including the mandatory arbitration provisions.Users further acknowledge that arbitration is intended to provide a fair, efficient, and cost-effective mechanism for resolving disputes, consistent with Philippine law and internationally accepted dispute-resolution standards.
