Terms for Rewards and Fulfilment

  1. Policy Statement and Platform Role
    These Terms for Rewards and Fulfilment (“Terms”) govern all campaigns hosted on Initiate Global Foundation, Inc. (“Initiate Global,” the “Foundation,” “we,” “us,” or “our”) that offer tangible or digital rewards to donors or backers.

    Initiate Global is a non-stock, non-profit organization acting as a foundation and conduit between donors and campaign creators. While Creators may design and offer rewards, Initiate Global provides only the fundraising infrastructure and compliance oversight. Creators are solely responsible for reward production, fulfilment, and legal compliance.

    Initiate Global reserves the right to review, suspend, or remove campaigns that fail to comply with these Terms or other platform policies.

  2. Purpose and Nature of Rewards
    This Policy applies to all campaigns that promise or deliver non-financial rewards in exchange for voluntary contributions.

    Rewards:

    1. Do not constitute shares, ownership interests, dividends, profit-sharing arrangements, or securities;
    2. Are expressions of appreciation and do not create an investment relationship;
    3. Are not intended to create a commercial buyer–seller relationship unless expressly disclosed;
    4. Must be described honestly and delivered in accordance with campaign representations.

    Backers acknowledge that reward-based crowdfunding involves inherent risks, including production delays or unforeseen logistical issues.

  3. Delivery Timelines and Communication
    3.1 Estimated Delivery Dates
    1. Creators must clearly disclose estimated delivery timelines for each reward tier.
    2. Estimates must be made in good faith and based on reasonable production, procurement, and logistics planning.
    3. Creators are encouraged to include contingency buffers for supply chain delays, customs processing, or force majeure events.

    3.2 Delays and Required Updates
    If delays occur, Creators must promptly post updates through the Initiate Global platform specifying:

    1. The cause of delay;
    2. The revised estimated timeline; and
    3. Steps being taken to mitigate the issue.

    Delivery dates are estimates only and are not guaranteed. Backers acknowledge that external factors beyond the Creator’s control may affect fulfilment schedules.

    3.3 Platform Oversight
    Initiate Global may request production updates, supplier confirmations, shipping evidence, or other documentation to verify ongoing fulfilment efforts. Failure to respond to reasonable compliance inquiries may result in campaign suspension or removal.

  4. Quality, Accuracy, and Substitution
    4.1 Consistency with Campaign Description
    Rewards must substantially match the specifications, images, materials, and descriptions provided in the campaign. Creators must not:
    1. Misrepresent features, origin, or quality;
    2. Use misleading prototypes or digitally altered images without clear disclosure; or
    3. Overstate value or production readiness.

    4.2 Substitutions and Modifications

    1. Substitutions of equal or greater value are permitted only if disclosed in advance and reasonably accepted by affected backers.
    2. If a substitution materially alters the nature or value of the reward, backers may opt out or request a refund, subject to fund availability and the Refund and Cancellation Policy.

    4.3 Creator Responsibility
    Creators bear full responsibility for:

    1. Product design and manufacturing;
    2. Supplier selection and oversight;
    3. Quality control;
    4. Packaging and shipment; and
    5. Compliance with all applicable laws.

    Initiate Global does not inspect, test, certify, or endorse any reward.

  5. Non-Delivery, Partial Delivery, and Remedial Actions
    5.1 Creator Obligations in Case of Non-Delivery
    If a Creator determines that fulfilment cannot proceed as planned, the Creator must:
    1. Publish a detailed campaign update explaining the issue and financial status of the project;
    2. Provide documentation, if requested by Initiate Global, regarding use of funds; and
    3. Propose a fair resolution, which may include:
      1. A substitute reward;
      2. Partial refunds where unspent funds are available; or
      3. Alternative compensation agreed upon with backers.

    5.2 Refund Limitations
    If funds have been legitimately and transparently spent in furtherance of the project (e.g., production, tooling, materials, logistics), refunds may not be possible.

    Initiate Global may review financial records and mediate disputes but does not guarantee refund recovery once funds are lawfully disbursed and used.

    5.3 Audit and Documentation Requirement
    Creators must retain receipts, contracts, invoices, and related documentation for a minimum of five (5) years, consistent with the Foundation’s Audit and Reporting Framework. These may be reviewed during investigations or compliance audits.

  6. Shipping, Duties, and Risk of Loss
    6.1 Shipping Responsibilities
    Unless expressly stated otherwise in the campaign description:
    1. Shipping and handling costs are the responsibility of the Creator;
    2. Creators must clearly disclose shipping regions, limitations, and estimated costs in advance.

    6.2 Customs, Duties, and Taxes
    International backers are responsible for customs duties, VAT, import taxes, or related charges imposed by their jurisdiction unless the campaign expressly states otherwise.

    6.3 Risk of Loss
    Creators are responsible for proper packaging and shipment. Risk of loss may pass to the backer upon confirmed shipment, depending on carrier terms. Initiate Global does not insure shipments and is not liable for carrier loss, theft, or damage.

  7. Tax, Regulatory, and Legal Compliance
    7.1 Creator Obligations
    Creators are solely responsible for:
    1. Declaring and remitting applicable income tax, VAT, or other taxes;
    2. Complying with product safety, consumer protection, and labeling laws;
    3. Ensuring lawful production and distribution of digital or physical goods; and
    4. Observing import/export and customs regulations.

    7.2 Platform Limitation
    Initiate Global does not provide tax, accounting, or legal advice and assumes no liability for a Creator’s regulatory non-compliance.

    7.3 Prohibited Goods
    Rewards must not include counterfeit, infringing, hazardous, restricted, or otherwise unlawful goods. Campaigns suspected of violating intellectual property, customs, trade, or safety laws may be suspended or terminated.

  8. Communication and Dispute Handling
    1. Creators must post periodic fulfilment updates until all rewards are delivered.
    2. Backers should communicate concerns directly with Creators through the platform before escalating disputes.
    3. Initiate Global may review and mediate disputes in good faith but is not obligated to enforce delivery or compensate backers for Creator defaults.
    4. Repeated fulfilment failures may result in suspension, delisting, or permanent banning of a Creator.
  9. Limitation of Platform Liability
    Initiate Global’s role is limited to providing the crowdfunding infrastructure and compliance oversight. The Foundation:
    1. Does not manufacture, store, ship, or warrant rewards;
    2. Does not guarantee production success, delivery, or quality; and
    3. Shall not be liable for indirect, consequential, or incidental damages arising from reward fulfilment issues.
  10. Acknowledgement
    By creating or backing a reward-based campaign on Initiate Global, Creators and Backers acknowledge and agree that:
    1. Rewards are gestures of appreciation, not purchases or investments;
    2. Delivery dates are estimates and not guarantees; and
    3. Initiate Global’s responsibility is limited to platform facilitation and compliance oversight.
